IMPORTANT NOTICE

These ARCBDS Referral & Rewards Terms govern any referral, invitation, community reward, generation, level, rank, campaign incentive or other compensation programme officially introduced by ARCBDS.

Participation in the ARCBDS Founding Circle does not automatically entitle a Participant to referral rewards.

No reward structure becomes binding merely because it is:

discussed by a community leader;

shown in an unofficial presentation;

posted in a Telegram or WhatsApp group;

described verbally;

demonstrated in a test system;

leaked before launch; or

proposed in a draft compensation plan.

A reward becomes contractually available only when ARCBDS officially activates the relevant reward programme and publishes or makes available the applicable Reward Schedule.

The following are therefore not yet contractual until formally approved:

Direct Referral Reward percentage;

number of generations;

generation reward percentages;

level structures;

rank structures;

team qualification requirements;

personal qualification requirements;

reward caps;

reward asset;

payout frequency;

vesting or holding periods;

rank bonuses; and

other compensation parameters.

ARCBDS does not guarantee that any Participant will earn referral rewards.

Referral rewards are not:

interest;

dividends;

fixed ROI;

guaranteed income;

salary;

employment income;

guaranteed passive income;

guaranteed investment return; or

guaranteed token appreciation.

Referral activity remains subject to Applicable Law, KYC/KYB, sanctions requirements, marketing regulations and jurisdictional eligibility.

1. PURPOSE

The purpose of these Terms is to establish the legal and operational framework governing:

a. referral links;

b. invitation codes;

c. referral attribution;

d. direct referral rewards;

e. generation rewards;

f. levels;

g. ranks;

h. team structures;

i. reward qualification;

j. reward calculation;

k. reward release;

l. reward reversals;

m. promotional conduct;

n. regulatory compliance;

o. disclosure of compensation;

p. prohibited marketing claims;

q. anti-fraud controls;

r. anti-abuse controls;

s. self-referrals;

t. duplicate Accounts;

u. KYC requirements;

v. tax responsibilities;

w. disputes;

x. programme suspension; and

y. termination.

2. SCOPE

These Terms apply to persons participating in an ARCBDS referral or rewards programme including:

a. Founding Circle Participants;

b. community members;

c. approved referrers;

d. referral partners;

e. community leaders;

f. ambassadors;

g. authorised marketing representatives;

h. KOLs where referral compensation applies;

i. influencers where referral compensation applies;

j. business-development partners;

k. institutional introducers; and

l. other persons approved by ARCBDS.

Different participant categories may be subject to different reward structures.

3. RELATED ARCBDS DOCUMENTS

These Terms should be read together with:

ARCBDS Founding Circle Participation Agreement;

ARCBDS Participant Protection Reserve Terms;

ARCBDS Website Terms of Use;

ARCBDS Privacy Policy;

ARCBDS Cookie Policy;

ARCBDS KYC, AML & Sanctions Policy;

ARCBDS Payment, Allocation & Blockchain Transaction Policy;

ARCBDS Cancellation & Refund Policy;

ARCBDS Eligibility & Restricted Jurisdiction Policy;

ARCBDS Electronic Communications & E-Sign Consent;

ARCBDS Legal & Marketing Disclaimer; and

these ARCBDS Referral & Rewards Terms.

Mandatory Applicable Law shall prevail where required.

4. DEFINITIONS

For purposes of these Terms:

4.1 “Active Programme”

means a referral or rewards programme formally approved and activated by ARCBDS.

4.2 “Direct Referral”

means an eligible person directly attributed to a Referrer according to the official ARCBDS referral system.

4.3 “Generation”

means a defined layer of qualifying Participants connected through an approved referral structure.

4.4 “Level”

means an achievement or qualification category established under an applicable Reward Schedule.

4.5 “Qualifying Activity”

means the activity expressly designated in an applicable Reward Schedule as creating eligibility for a Reward.

4.6 “Qualifying Referral”

means a Referred Participant satisfying all applicable conditions under these Terms and the relevant Reward Schedule.

4.7 “Rank”

means a defined status earned through approved qualification criteria.

4.8 “Referral Code”

means a unique code assigned to an eligible Referrer.

4.9 “Referral Link”

means an officially generated digital link associated with a Referral Code.

4.10 “Referred Participant”

means a person attributed to a Referrer through the official ARCBDS referral system.

4.11 “Referrer”

means a person officially eligible to participate in an Active Programme.

4.12 “Reward”

means monetary or non-monetary value provided under an Active Programme.

4.13 “Reward Base”

means the metric on which a Reward is calculated, as specified in the applicable Reward Schedule.

4.14 “Reward Schedule”

means the official commercial schedule defining actual percentages, amounts, levels, generations, ranks, qualification conditions, payout methods and related terms.

4.15 “Team”

means the referral network attributed beneath a Referrer according to the official system.

5. PROGRAMME ACTIVATION

No Referral & Rewards Programme shall become operational until:

a. management approval has been obtained;

b. Legal has reviewed the structure;

c. Compliance has reviewed the structure;

d. applicable regulatory approvals or confirmations have been obtained;

e. the Reward Schedule has been approved;

f. the system has been configured;

g. required disclosures have been prepared; and

h. an official activation notice has been issued.

6. NO IMPLIED REWARD PROGRAMME

The existence of:

a. referral links;

b. invitation codes;

c. community hierarchies;

d. leader dashboards;

e. invitation tracking; or

f. team structures

does not automatically mean rewards are payable.

Such functions may be used for community attribution even before compensation is activated.

7. REGULATORY CONDITION

Any reward, referral payment or incentive is conditional on ARCBDS being legally permitted to offer it.

If Applicable Law requires:

a. regulatory approval;

b. compliance confirmation;

c. notification;

d. registration;

e. licence variation;

f. marketing approval; or

g. another regulatory condition,

the reward must not be activated until the requirement has been satisfied.

8. UAE / DUBAI INCENTIVE CONDITION

Where the programme falls within applicable Dubai Virtual Asset marketing requirements, monetary or non-monetary incentives shall only be offered in accordance with the applicable VARA Marketing Regulations.

Where a compliance confirmation from VARA is required, ARCBDS shall obtain that confirmation before the relevant incentive becomes available.

9. REFERRAL PROGRAMME MAY BE MARKETING

A referral programme may constitute marketing or promotional activity.

Therefore:

a. referral communications may be regulated;

b. compensation may need to be disclosed;

c. risk warnings may be required;

d. jurisdiction restrictions apply;

e. misleading claims are prohibited; and

f. referral activity does not exist outside marketing compliance.

10. ELIGIBILITY TO BECOME A REFERRER

Unless a Reward Schedule provides stricter criteria, a Referrer must:

a. have an eligible ARCBDS Account;

b. satisfy applicable minimum age;

c. complete KYC/KYB;

d. pass sanctions screening;

e. remain legally eligible;

f. comply with the ARCBDS legal documents;

g. comply with marketing rules;

h. comply with these Terms; and

i. not be suspended or prohibited.

11. NO AUTOMATIC RIGHT TO REFER

ARCBDS may restrict referral functionality according to:

a. jurisdiction;

b. regulatory status;

c. Participant category;

d. risk rating;

e. marketing permissions;

f. programme status; or

g. other legitimate criteria.

12. CORPORATE REFERRERS

A company participating as a Referrer may be required to complete:

a. KYB;

b. UBO verification;

c. corporate authority verification;

d. tax documentation;

e. invoicing documentation;

f. marketing-agency review; and

g. other legal requirements.

13. PROFESSIONAL INTRODUCERS

A professional introducer, broker, adviser, agent or other compensated intermediary may require a separate written agreement.

These Referral Terms do not substitute for any licence or authorisation required to perform regulated intermediary activity.

14. NO REGULATED ACTIVITY AUTHORITY

Being an ARCBDS Referrer does not automatically authorise a person to perform:

a. investment advice;

b. financial advisory activity;

c. brokerage;

d. dealing;

e. portfolio management;

f. custody;

g. regulated placement activity;

h. regulated solicitation; or

i. another licensed activity.

15. REFERRAL CODE

Eligible Referrers may receive a unique Referral Code.

The Referral Code:

a. remains associated with the Referrer's Account;

b. may be revoked;

c. may not be sold;

d. may not be transferred without approval;

e. may not be altered to impersonate ARCBDS; and

f. must be used in accordance with these Terms.

16. REFERRAL LINKS

Referral Links may include tracking parameters allowing ARCBDS to attribute registration or participation.

Referrers must not:

a. manipulate Referral Links;

b. hide misleading redirects;

c. direct users to phishing websites;

d. embed malicious code;

e. misrepresent the destination; or

f. use fake ARCBDS domains.

17. REFERRAL ATTRIBUTION

A referral relationship shall be determined by the official ARCBDS system.

The final attribution methodology shall be:

and shall be recorded in the applicable Reward Schedule or programme rules.

18. ATTRIBUTION TIMESTAMP

ARCBDS may record:

a. Referral Link click;

b. Referral Code use;

c. registration;

d. Account creation;

e. KYC completion;

f. first Qualifying Activity; and

g. final attribution.

The official attribution record shall control unless a Manifest Error is established.

19. EXISTING USERS

An existing ARCBDS Account holder may not ordinarily be reassigned to a new Referrer merely because:

a. another person asks;

b. a different community leader offers better incentives;

c. the Participant changes teams; or

d. a Referrer demands reassignment.

Any reassignment policy must be formally approved.

20. REFERRAL REASSIGNMENT

ARCBDS may correct attribution where:

a. a technical error occurred;

b. fraudulent attribution occurred;

c. an incorrect code was automatically inserted;

d. authorised support correction is justified; or

e. another approved exception applies.

Corrections must maintain an audit trail.

21. QUALIFYING REFERRAL

A Referred Participant may become a Qualifying Referral only where all applicable conditions are satisfied.

These may include:

a. valid referral attribution;

b. successful registration;

c. KYC/KYB completion;

d. jurisdiction eligibility;

e. sanctions clearance;

f. Qualifying Activity;

g. Accepted Contribution where applicable;

h. absence of fraud;

i. absence of prohibited self-referral;

j. applicable settlement period; and

k. other conditions under the Reward Schedule.

22. REGISTRATION ALONE

Registration alone does not necessarily create a payable Reward.

The Reward Schedule must specify what event creates reward eligibility.

23. KYC ALONE

Completion of KYC does not necessarily create a payable Reward.

24. CONTRIBUTION ALONE

A Contribution does not automatically generate a final Reward until:

a. participation is accepted;

b. compliance checks are complete;

c. cancellation/refund conditions are satisfied; and

d. all applicable Reward conditions are met.

25. QUALIFYING ACTIVITY

A Reward Schedule may define Qualifying Activity using one or more approved metrics such as:

a. completed eligible participation;

b. eligible platform activity;

c. approved service usage;

d. qualifying transaction fees;

e. approved ecosystem activity;

f. retention or qualification period; or

g. another legally approved metric.

No metric shall apply unless stated in the active Reward Schedule.

26. REWARD BASE

The Reward Base must be clearly defined before rewards are calculated.

Possible Reward Bases may include:

a. fixed amount;

b. eligible platform fees;

c. qualifying activity volume;

d. approved participation metric;

e. points;

f. approved business-development metric; or

g. another approved basis.

The Reward Base shall not be assumed merely from the Contribution amount unless expressly stated.

27. DIRECT REFERRAL REWARD

Where activated, a Direct Referral Reward may be payable to the qualifying Referrer.

28. GENERATION REWARDS

ARCBDS may introduce Generation Rewards.

These parameters are inactive until formally approved.

29. GENERATION DEFINITION

A Generation should be defined consistently by the system.

Example structure:

Generation 1 = Referrer's direct Qualifying Referrals;

Generation 2 = Qualifying Referrals directly attributed beneath Generation 1;

Generation 3 = qualifying persons beneath Generation 2;

and so forth.

The actual structure shall follow the approved Reward Schedule.

30. NO UNLIMITED GENERATION ASSUMPTION

No Referrer should assume an entitlement to unlimited downstream generations.

Only generations expressly approved in the Reward Schedule qualify.

31. LEVEL SYSTEM

ARCBDS may introduce Levels.

A Level may depend on criteria such as:

a. qualifying direct referrals;

b. qualifying Team activity;

c. compliance status;

d. active status;

e. business-development achievement;

f. training completion; or

g. another approved criterion.

32. LEVEL DOES NOT GUARANTEE INCOME

Achieving a Level does not guarantee:

a. minimum earnings;

b. future Team activity;

c. future rewards;

d. permanent rank; or

e. investment return.

33. RANK SYSTEM

ARCBDS may introduce Ranks.

Potential Rank factors may include:

a. personal qualifying activity;

b. direct qualifying referrals;

c. Team qualifying activity;

d. generation requirements;

e. leadership development;

f. compliance history;

g. active-status requirements; and

h. other approved metrics.

34. RANK REQUIREMENTS

No Rank criteria apply until published through the official Reward Schedule.

35. RANK ACHIEVEMENT

A Rank becomes effective only after:

a. system calculation;

b. required qualification period;

c. fraud review;

d. compliance validation; and

e. official confirmation.

36. RANK MAINTENANCE

Where a Rank requires ongoing maintenance, the applicable criteria must be clearly disclosed.

A Rank must not be represented as permanent unless it genuinely is permanent under the Reward Schedule.

37. RANK DOWNGRADE

A Rank may be downgraded where:

a. maintenance criteria are not satisfied;

b. underlying activity is refunded;

c. fraudulent activity is removed;

d. Team transactions are reversed;

e. compliance status changes; or

f. the Reward Schedule permits downgrade.

38. PERSONAL PARTICIPATION REQUIREMENTS

If a future Rank or reward structure includes a personal participation requirement, the exact requirement must be:

a. legally reviewed;

b. transparently disclosed;

c. proportionate;

d. approved under Applicable Law; and

e. stated in the Reward Schedule.

No personal purchase requirement should be invented by community leaders.

39. TEAM REQUIREMENTS

If Team activity is relevant to qualification, the Reward Schedule must define:

a. qualifying Team activity;

b. excluded activity;

c. time period;

d. generation depth;

e. Team-leg requirements where applicable; and

f. reward calculation.

40. TEAM ACTIVITY DOES NOT BELONG TO THE REFERRER

A Referrer does not own:

a. Referred Participants;

b. their Accounts;

c. their ARCBDS;

d. their Contributions;

e. their KYC data; or

f. their wallets.

The referral structure is an attribution and reward mechanism only.

41. NO CONTROL OVER PARTICIPANTS

A Referrer may not:

a. control another Participant's Account;

b. hold their passwords;

c. hold their private keys;

d. complete their KYC fraudulently;

e. submit transactions without authority; or

f. prevent them from contacting ARCBDS directly.

42. REWARD ASSET

Rewards may potentially be paid in:

a. USDT;

b. ARCBDS;

c. ecosystem credits;

d. points;

e. non-monetary benefits; or

f. another approved asset.

43. ARCBDS-DENOMINATED REWARDS

Where a Reward is paid in ARCBDS:

a. its market value may fluctuate;

b. its value may decrease;

c. liquidity is not guaranteed;

d. release restrictions may apply; and

e. receiving ARCBDS does not guarantee profit.

44. USDT-DENOMINATED REWARDS

Where a Reward is paid in USDT:

a. stablecoin risk applies;

b. network fees may apply;

c. USDT does not guarantee permanent US-dollar parity; and

d. wallet screening may apply.

45. NON-MONETARY REWARDS

Non-monetary rewards may include:

a. access;

b. event benefits;

c. recognition;

d. education;

e. ecosystem privileges;

f. merchandise; or

g. another approved benefit.

The Reward Schedule shall identify any material conditions.

46. REWARD CALCULATION

The standard framework is:

A Pending Reward is not an unconditional debt owed to the Referrer.

51. REWARD HOLDING PERIOD

ARCBDS may apply a holding period before final Reward release to account for:

a. cancellations;

b. refunds;

c. fraud review;

d. chargebacks where relevant;

e. transaction reversal;

f. compliance checks; and

g. programme integrity.

52. MINIMUM PAYOUT

ARCBDS may establish a minimum payout threshold.

Rewards below the threshold may remain accumulated until the threshold is reached, subject to expiry rules.

53. REWARD CAP

ARCBDS may establish:

b. weekly cap;

c. monthly cap;

54. CAP DISCLOSURE

No cap should be hidden after a Referrer has already qualified.

55. REFUND REVERSAL

If the underlying Referred Participant receives a Refund, associated rewards may be:

a. cancelled;

b. reduced;

c. reversed;

d. deducted from future Rewards; or

e. recovered where already paid,

according to the Reward Schedule and Applicable Law.

56. CANCELLATION REVERSAL

Where a referred participation is lawfully cancelled, any Reward based solely on that participation may be reversed.

57. REJECTED PARTICIPATION

No final Reward is due for a Referred Participant whose participation is rejected.

58. FRAUD REVERSAL

Rewards attributable to:

a. fake Accounts;

b. identity fraud;

c. multiple Accounts;

d. self-referrals;

e. fabricated transactions;

f. manipulated Teams; or

g. other fraudulent activity

may be cancelled or recovered.

59. CLAWBACK

Where a Reward has already been paid but is later determined to have been generated through fraud, error, refund or another valid reversal event, ARCBDS may, where contractually and legally permitted:

a. offset against future Rewards;

b. debit an internal reward balance;

c. request repayment;

d. initiate recovery; or

e. take another lawful action.

60. NO ARBITRARY CLAWBACK

ARCBDS shall not reverse legitimately earned Rewards without:

a. a contractual basis;

b. legal basis;

c. operational correction; or

d. another legitimate reason.

61. SELF-REFERRALS

Self-referrals are prohibited unless an Active Programme expressly allows them.

Self-referral may include:

a. referring one's own second Account;

b. using another email for the same person;

c. referring a company controlled solely to create artificial reward activity;

d. using nominee identities; or

e. another arrangement designed to generate rewards from oneself.

62. MULTIPLE ACCOUNTS

Creating multiple Accounts to obtain referral or rank benefits is prohibited.

ARCBDS may identify duplicate Accounts using:

a. KYC;

b. device information;

c. IP information;

d. wallet addresses;

e. payment sources;

f. beneficial ownership; and

g. other appropriate fraud controls.

63. HOUSEHOLD REFERRALS

Referrals among genuine separate family or household members may be permitted subject to:

a. separate identities;

b. genuine separate Accounts;

c. independent KYC;

d. lawful funds;

e. no nominee activity; and

f. anti-abuse review.

64. CORPORATE-RELATED REFERRALS

Referrals among related companies may receive enhanced review.

Related-party relationships should not be used to manufacture artificial Team volume or Rank qualification.

65. FAKE PARTICIPANTS

Referrers must not create:

a. fake identities;

b. shell Accounts;

c. nominee Participants;

d. temporary Accounts; or

e. fabricated transactions

to obtain rewards.

66. TRANSACTION SPLITTING

A Referrer or Participant must not split a single economic transaction into multiple artificial transactions to generate additional rewards.

ARCBDS may aggregate linked transactions.

67. TEAM MANIPULATION

Prohibited Team manipulation includes:

a. cycling Accounts;

b. artificial placement;

c. repeated account reassignment;

d. fake leaders;

e. coordinated refund-and-rejoin activity;

f. purchased identity Accounts; and

g. other manipulation.

68. REFERRAL SPAM

Referrers must not engage in unlawful or abusive:

a. email spam;

b. SMS spam;

c. mass WhatsApp messaging;

d. unsolicited Telegram messaging;

e. automated social-media messaging;

f. cold messaging contrary to law; or

g. harvesting of contact data.

69. PURCHASED CONTACT LISTS

Referrers must not use unlawfully obtained or improperly purchased personal-data lists to market ARCBDS.

70. PRIVACY

Referral activity must respect the ARCBDS Privacy Policy.

A Referrer does not receive access to full information about a Referred Participant merely because the Participant used their code.

71. LIMITED REFERRAL DASHBOARD

A referral dashboard may show limited information such as:

a. anonymised Participant identifier;

b. qualification status;

c. Reward status;

d. Team structure;

e. qualifying volume where lawful; and

f. other information necessary to administer rewards.

72. PROHIBITED REFERRAL DATA

Referrers should not automatically receive:

a. passports;

b. KYC documents;

c. residential addresses;

d. source-of-funds documentation;

e. source-of-wealth records;

f. complete wallet balances;

g. sanctions results; or

h. other confidential compliance records.

73. DATA PROTECTION

Referral data may constitute Personal Data.

It shall be processed according to:

a. ARCBDS Privacy Policy;

b. Applicable Law; and

c. authorised programme purposes.

74. COMPENSATION DISCLOSURE

Where a Referrer receives or may receive value from a referral, the relationship should be disclosed where required by Applicable Law.

A suitable disclosure may state:

“I may receive a referral reward if you qualify through my referral link.”

75. NO HIDDEN COMMISSION WHERE DISCLOSURE REQUIRED

A Referrer must not deliberately present themselves as an independent neutral reviewer while secretly receiving compensation where disclosure is legally required.

76. KOL AND INFLUENCER DISCLOSURE

Where an influencer, KOL or content creator receives compensation, they must comply with the ARCBDS Legal & Marketing Disclaimer and applicable sponsorship disclosure requirements.

77. REFERRERS ARE SUBJECT TO MARKETING RULES

Every Referrer must follow the ARCBDS Legal & Marketing Disclaimer.

This includes prohibitions concerning:

a. guaranteed returns;

b. capital guarantees;

c. guaranteed buyback;

d. guaranteed listing;

e. guaranteed liquidity;

f. false regulatory claims;

g. false partner claims;

h. misleading Protection Reserve claims; and

i. misleading income claims.

78. NO GUARANTEED REFERRAL INCOME

Referrers must not say:

“Join ARCBDS and earn guaranteed passive income.”

“Build a team and receive lifetime guaranteed income.”

“Everybody will earn.”

“This programme guarantees monthly commission.”

or equivalent claims.

79. NO EARNINGS GUARANTEE

Referral earnings depend on actual qualifying activity and applicable programme rules.

A Referrer may earn:

a. significant Rewards;

b. limited Rewards; or

c. no Rewards.

No minimum income is guaranteed.

80. EARNINGS EXAMPLES

Any earnings example must be:

a. clearly hypothetical where hypothetical;

b. mathematically accurate;

c. based on current Reward terms;

d. not presented as typical unless evidence supports that statement; and

e. accompanied by appropriate qualification.

81. EARNINGS TESTIMONIALS

Referrers must not use misleading:

a. supercar imagery;

b. luxury houses;

c. private jets;

d. cash displays;

e. luxury holidays; or

f. similar imagery

to imply that ordinary Participants can expect such results from referral activity.

83. NO EMPLOYMENT REPRESENTATION

A Referrer is not automatically an ARCBDS employee.

The programme must not be marketed as:

a. employment;

b. salary;

c. guaranteed part-time job;

d. guaranteed monthly wage; or

e. employment opportunity

unless an actual employment arrangement exists.

84. NO PARTNERSHIP OR AGENCY BY DEFAULT

Participation in the Referral Programme does not by itself create:

a. partnership;

b. joint venture;

c. franchise;

d. fiduciary relationship;

e. employment; or

f. authority to legally bind ARCBDS.

A separate agreement may establish additional rights.

85. NO AUTHORITY TO SIGN FOR ARCBDS

Referrers may not:

a. enter contracts on behalf of ARCBDS;

b. promise special terms;

c. issue official receipts;

d. guarantee Refunds;

e. guarantee Reserve claims;

f. modify token allocations; or

g. waive KYC requirements.

86. NO COLLECTION OF PARTICIPANT FUNDS

Unless separately and expressly authorised, Referrers must not collect Founding Circle Contributions into personal wallets or bank accounts.

Potential Participants must use the official ARCBDS payment process.

87. NO PRIVATE-KEY ACCESS

Referrers must never ask Participants to disclose:

a. wallet private keys;

b. seed phrases;

c. recovery phrases;

d. passwords; or

e. OTPs.

88. APPROVED MARKETING MATERIAL

ARCBDS may provide approved marketing assets including:

a. presentations;

b. brochures;

c. links;

d. banners;

e. videos;

f. social posts;

g. FAQs; and

h. risk notices.

Referrers should use current materials.

89. EDITING MARKETING MATERIAL

Referrers must not modify approved materials in a way that creates:

a. false returns;

b. false guarantees;

c. false regulatory claims;

d. false tokenomics;

e. false deadlines;

f. false partner claims; or

g. misleading information.

90. PERSONAL CONTENT

Referrers may create personal content only where it complies with:

a. these Terms;

b. applicable marketing law;

c. brand guidelines;

d. risk disclosure requirements; and

e. jurisdiction restrictions.

91. UNAUTHORISED TRANSLATIONS

A translation must not materially strengthen claims concerning:

a. profits;

b. protection;

c. guarantees;

d. regulations;

e. insurance; or

f. token value.

92. BUSINESS CARDS AND TITLES

Referrers must not use titles that imply employment or regulatory authority where no such position exists.

Examples requiring approval include:

ARCBDS Investment Adviser

ARCBDS Licensed Broker

ARCBDS Fund Manager

unless legally accurate.

93. APPROVED COMMUNITY TITLES

ARCBDS may permit titles such as:

a. Community Leader;

b. Ambassador;

c. Referral Partner;

d. Ecosystem Connector; or

e. another approved title.

Such titles do not create regulatory authority.

94. NO PERSONAL FINANCIAL ADVICE

Unless legally authorised, a Referrer should not tell a prospective Participant:

a. exactly how much to invest;

b. that ARCBDS is suitable for their finances;

c. that a particular package guarantees the best return; or

d. to sell another investment to participate.

95. EXPLAINING THE FOUNDING CIRCLE

Referrers may factually explain approved terms relating to:

a. Access;

b. Growth;

c. Legacy;

d. Allocation Prices;

e. Alignment Rewards;

f. Cliffs; and

g. release schedules.

96. ALIGNMENT REWARD

Referrers must describe the Alignment Reward as additional ARCBDS allocation.

It must not be described as a guaranteed financial return.

97. PROTECTION RESERVE

Referrers may discuss the Participant Protection Reserve only in accordance with the approved Protection Reserve Terms and Legal & Marketing Disclaimer.

They must not say:

“Your capital is guaranteed.”

“You are insured.”

“ARCBDS will always buy your tokens.”

98. EXCHANGE LISTINGS

Referrers must not announce exchange listings unless ARCBDS officially authorises the announcement.

99. REGULATORY STATUS

Referrers must not claim:

a. VARA approval;

b. UAE government endorsement;

c. SCA approval;

d. securities approval; or

e. another licence

unless ARCBDS has formally confirmed the statement for use.

100. JURISDICTION RESTRICTIONS

Referrers must not knowingly promote participation to persons in Restricted Jurisdictions.

The active Restricted Jurisdiction Register and marketing instructions must be followed.

101. VPN CIRCUMVENTION

Referrers must not advise potential Participants to use:

a. VPNs;

b. proxies;

c. false residency;

d. nominees; or

e. overseas shell entities

to avoid ARCBDS jurisdiction restrictions.

102. KYC CIRCUMVENTION

Referrers must not:

a. submit KYC for someone else;

b. provide fake documents;

c. lend identity documents;

d. create duplicate Accounts; or

e. otherwise bypass KYC.

103. RISK DISCLOSURE

Referrers should not conceal or discourage prospective Participants from reading the ARCBDS Risk Disclosure Statement.

104. NO PRESSURE TO PARTICIPATE

Referral incentives must not be presented in a way that overwhelms proper consideration of:

a. token risk;

b. market volatility;

c. liquidity risk;

d. release restrictions;

e. legal terms; and

f. other material risks.

105. FOMO

Referrers must not use misleading FOMO tied to potential appreciation or profits.

Examples include:

“Join tonight or lose your chance to become rich.”

“This is guaranteed to explode.”

106. GENUINE DEADLINES

A genuine ARCBDS deadline or capacity limitation may be communicated accurately.

It must not be fabricated.

107. REWARD-BASED URGENCY

A reward campaign should remain available for an appropriate period and should not be deliberately structured merely to pressure Participants to act without considering risk where Applicable Law prohibits such conduct.

108. ANTI-PYRAMID PRINCIPLE

ARCBDS does not intend the Referral Programme to operate as an unlawful pyramid, chain recruitment or similar prohibited arrangement.

The Reward Programme must be structured around genuine approved qualifying activity rather than merely the recruitment of additional recruiters.

109. NO REWARD MERELY FOR RECRUITING RECRUITERS

Unless legally reviewed and specifically permitted, ARCBDS should not pay rewards solely because:

a. one person recruits another recruiter;

b. another layer is created; or

c. a person joins a hierarchy

without the required legitimate Qualifying Activity.

110. NO PURCHASE OF RECRUITMENT RIGHTS

No person should pay a separate fee solely to obtain the right to recruit others for compensation unless the structure has been specifically legally approved.

111. NO INVENTORY LOADING

Referrers should not be required to purchase unnecessary quantities of tokens or services merely to maintain eligibility for recruiting others unless the commercial and legal basis has been expressly reviewed and approved.

112. NO ARTIFICIAL VOLUME

Participants must not purchase, recycle or circulate funds purely to manufacture:

a. Team volume;

b. rank qualification;

c. generation activity; or

d. reward entitlement.

113. ECONOMIC SUBSTANCE

The Compensation Plan should be designed around genuine ARCBDS ecosystem activity and must not rely principally on endless recruitment.

114. PROGRAMME REVIEW

Legal and Compliance should review the economic structure before activation, including:

a. source of reward funding;

b. reward base;

c. direct reward;

d. generation structure;

e. levels;

f. ranks;

g. qualification rules;

h. consumer impact;

i. marketing treatment;

j. sustainability; and

k. applicable regulatory requirements.

115. REWARD FUNDING

The Reward Schedule shall identify the approved commercial source or accounting treatment of rewards where necessary.

Reward funding must be consistent with:

a. tokenomics;

b. finance policy;

c. legal structure;

d. regulatory obligations; and

e. programme sustainability.

116. NO UNDISCLOSED DEDUCTION FROM PARTICIPANT ALLOCATION

A Referred Participant's confirmed ARCBDS entitlement should not be secretly reduced to fund a referral reward.

If a fee or deduction affects the Referred Participant, it must be disclosed.

117. NO EFFECT ON ALLOCATION PRICE UNLESS DISCLOSED

Using a Referral Code should not alter:

a. Allocation Price;

b. Alignment Reward;

c. token entitlement;

d. release schedule; or

e. other Founding Circle terms

unless an approved programme expressly states otherwise.

118. NO EFFECT ON PROTECTION RESERVE

Referral status does not automatically improve or reduce Protection Reserve eligibility.

Protection Reserve Claims remain governed by the Protection Reserve Terms.

119. REFUND IMPACT

A referred transaction that is refunded may cease to qualify for Rewards.

Associated Rewards may be reversed under these Terms.

120. REWARD ACCOUNT

The ARCBDS Platform may maintain a Reward Account or dashboard showing:

a. Pending Rewards;

b. Approved Rewards;

c. Released Rewards;

d. Paid Rewards;

e. Reversed Rewards;

f. Rank;

g. Level;

h. Team statistics; and

i. other programme data.

121. DASHBOARD ERROR

A dashboard display error does not create an entitlement inconsistent with the approved Reward Schedule and verified underlying records.

Manifest Errors may be corrected.

122. REWARD STATEMENT

ARCBDS may provide periodic Reward statements showing:

a. Reward period;

b. Reward type;

c. Qualifying Activity;

d. Reward calculation;

e. adjustments;

f. reversals;

g. balance; and

h. payout status.

123. PAYOUT WALLET

Digital-asset Rewards may be distributed only to an approved wallet.

The wallet may be subject to:

a. ownership verification;

b. sanctions screening;

c. blockchain analytics;

d. network compatibility; and

e. security controls.

124. THIRD-PARTY PAYOUT WALLET

Rewards should not ordinarily be paid to unrelated third-party wallets.

Exceptions require appropriate verification and Compliance approval.

The Reward Schedule should disclose responsibility for:

a. blockchain fees;

b. withdrawal fees;

129. REFERRER BUSINESS LICENSING

A Referrer is responsible for maintaining any business, marketing, agency, tax or professional licence legally required for their activities.

130. SANCTIONS

No Reward shall be paid where payment is prohibited by sanctions.

131. AML/CFT

Rewards remain subject to:

a. KYC;

b. AML;

c. CFT;

d. CPF;

e. sanctions;

f. wallet screening; and

g. transaction monitoring.

132. SUSPICIOUS REWARD ACTIVITY

Unusual referral activity may be reviewed for:

a. fraud;

b. money laundering;

c. sanctions evasion;

d. Account manipulation;

e. false identities;

f. related-party abuse; and

g. artificial transaction volume.

133. REWARD HOLD

ARCBDS may place a Reward on hold while conducting legitimate:

a. compliance review;

b. fraud review;

c. refund review;

d. transaction review;

e. Account security review; or

f. legal investigation.

134. NO TIPPING OFF

ARCBDS may be legally restricted from explaining certain AML-related Reward holds in detail.

135. ERRONEOUS REWARD

If ARCBDS incorrectly credits a Reward because of a system or calculation error, it may correct the error.

Corrections shall maintain an audit trail.

136. UNDERPAYMENT

Where a Referrer proves that ARCBDS underpaid a valid Reward, ARCBDS shall correct the amount following verification.

137. OVERPAYMENT

Where ARCBDS overpays because of a Manifest Error, it may lawfully seek correction or recovery.

138. REWARD DISPUTE

A Referrer may dispute:

a. attribution;

b. reward calculation;

c. generation placement;

d. Rank;

e. Level;

f. reversal;

g. payout; or

h. another programme decision.

139. DISPUTE PERIOD

A Reward dispute should ordinarily be submitted within:

30 CALENDAR DAYS

after the relevant Reward statement or decision.

This does not remove mandatory legal rights.

140. DISPUTE INFORMATION

The Referrer should provide:

a. Referrer ID;

b. Referral Code;

c. Referred Participant reference where appropriate;

d. Reward period;

e. disputed amount;

f. reason; and

g. supporting evidence.

141. INTERNAL REVIEW

ARCBDS may review:

a. referral attribution;

b. system logs;

c. KYC status;

d. transaction records;

e. Refunds;

f. Team structure;

g. programme rules;

h. fraud indicators; and

i. Reward Schedule.

142. FINAL INTERNAL DECISION

The internal decision may:

a. confirm the Reward;

b. increase the Reward;

c. reduce the Reward;

d. reverse the Reward;

e. correct attribution; or

f. reject the dispute.

143. PROGRAMME SUSPENSION

ARCBDS may temporarily suspend a Referral Programme because of:

a. regulatory review;

b. legal changes;

c. fraud;

d. technical failure;

e. programme redesign;

f. abuse;

g. security concerns; or

h. other legitimate reasons.

144. EFFECT OF SUSPENSION

During suspension:

a. new referrals may stop qualifying;

b. new Rewards may stop accruing;

c. existing Pending Rewards may remain pending;

d. compliance reviews may continue; and

e. previously Approved Rewards shall be treated according to applicable terms and law.

145. PROGRAMME TERMINATION

ARCBDS may terminate a Referral Programme subject to:

a. existing contractual rights;

b. Applicable Law;

c. approved Rewards already earned;

d. fraud reviews; and

e. applicable regulatory requirements.

146. NOTICE OF TERMINATION

Where reasonably possible, ARCBDS should give notice before terminating an Active Programme.

Immediate termination may occur where required by law or regulator.

147. NO PERPETUAL PROGRAMME GUARANTEE

ARCBDS does not guarantee that:

a. a Referral Programme will operate forever;

b. percentages will never change;

c. Generations will never change;

d. Ranks will never change; or

e. future reward campaigns will continue.

148. CHANGES TO FUTURE REWARDS

ARCBDS may modify future Reward terms subject to:

a. appropriate notice;

b. programme terms;

c. Applicable Law; and

d. regulatory requirements.

149. ACCRUED REWARDS

A programme change should not arbitrarily eliminate Rewards already finally earned under the applicable terms, subject to fraud, error, reversal and legal restrictions.

150. NEW REWARD SCHEDULE

Each material Reward Schedule update should identify:

a. version;

b. effective date;

c. changed rates;

d. changed qualification;

e. changed generations;

f. changed ranks;

g. changed caps;

h. changed payout terms; and

151. VERSION CONTROL

ARCBDS shall maintain:

a. Terms version;

b. Reward Schedule version;

c. effective date;

d. previous versions;

e. acceptance records where applicable; and

152. ELECTRONIC ACCEPTANCE

Referrers may accept these Terms electronically.

Electronic acceptance shall be governed by the ARCBDS Electronic Communications & E-Sign Consent.

153. TERMINATION OF REFERRER STATUS

ARCBDS may terminate Referrer status for:

a. fraud;

b. sanctions;

c. misleading marketing;

d. unauthorised collection of funds;

e. fake Accounts;

f. self-referral abuse;

g. regulatory breach;

h. spam;

i. misuse of Personal Data;

j. impersonation;

k. unauthorised investment advice;

l. repeated prohibited claims; or

m. other material breach.

154. TEMPORARY SUSPENSION OF REFERRER

ARCBDS may temporarily suspend a Referrer while investigating suspected misconduct.

155. REWARD TREATMENT AFTER REFERRER TERMINATION

The treatment of Rewards following termination may depend on:

a. whether they were finally earned;

b. whether fraud occurred;

c. whether the underlying activity remained valid;

d. Applicable Law; and

e. the Reward Schedule.

156. FRAUDULENT REWARDS AFTER TERMINATION

Fraudulently generated Rewards do not become valid merely because Referrer status later ends.

157. VOLUNTARY WITHDRAWAL

A Referrer may stop participating in the Referral Programme.

Stopping referral activity does not automatically cancel:

a. Founding Circle participation;

b. ARCBDS entitlement; or

c. other unrelated ecosystem rights.

158. ACCOUNT CLOSURE

Closing the ARCBDS Account normally ends future referral eligibility.

Treatment of previously earned Rewards shall follow the applicable programme rules.

159. DEATH

Where a Referrer dies, treatment of finally earned unpaid Rewards shall depend on:

a. Applicable Law;

b. estate documentation;

c. Reward Schedule;

d. KYC of authorised representative; and

e. legal succession.

Future generation Rewards are not automatically inheritable unless the programme expressly provides otherwise.

160. ASSIGNMENT

Referral status and Team structures may not be assigned or sold without written approval.

161. SUCCESSION OF CORPORATE REFERRER

A corporate merger, acquisition or restructuring may require approval before referral rights transfer to another entity.

162. INTELLECTUAL PROPERTY

Referrers may use ARCBDS branding only in accordance with approved brand guidelines.

163. DOMAIN NAMES

Referrers must not register misleading domains such as:

b. arcbds-investment;

c. arcbds-guaranteed;

or another domain falsely implying official ownership.

164. SOCIAL MEDIA ACCOUNTS

Referrer accounts should not impersonate official ARCBDS accounts.

Where appropriate they should identify themselves as:

or another approved description.

165. LOGO USE

Use of the ARCBDS logo may be subject to written brand permission.

166. NO ALTERATION OF LOGO

Referrers should not alter official logos to imply:

a. government endorsement;

b. regulator endorsement;

c. insurance;

d. guaranteed returns; or

e. another false relationship.

167. TRAINING

ARCBDS may require Referrers to complete training covering:

a. ARCBDS fundamentals;

b. Founding Circle terms;

c. risk;

d. marketing rules;

e. KYC/AML;

f. Protection Reserve;

g. prohibited claims;

h. referral compliance; and

i. jurisdiction restrictions.

168. TRAINING AS QUALIFICATION

Where stated in the Reward Schedule, completion of required compliance training may be a condition of active Referrer status.

169. MONITORING

ARCBDS may reasonably monitor public referral marketing to identify:

a. false claims;

b. fake Accounts;

c. non-compliant promotions;

d. misleading content; and

e. brand misuse.

170. CORRECTION REQUEST

ARCBDS may require a Referrer to:

a. delete content;

b. correct content;

c. add a disclaimer;

d. stop a campaign;

e. update outdated terms; or

f. remove misleading claims.

171. FAILURE TO CORRECT

Failure to correct material non-compliant content may result in suspension or termination.

172. REPORTING MISCONDUCT

Participants may report suspected referral misconduct to:

ARCBDS's obligation to pay a Reward arises only where:

d. Qualifying Activity occurred;

e. the Reward Schedule applies;

f. no reversal event exists;

g. compliance requirements are satisfied; and

h. payment is lawful.

176. NO GUARANTEE OF TEAM ACTIVITY

ARCBDS does not guarantee:

a. referral conversion;

b. Team growth;

c. Team volume;

d. Rank attainment;

e. Rank maintenance; or

f. Reward income.

177. NO GUARANTEED COMMUNITY GROWTH

Marketing statements concerning global expansion, community growth or expected Participant numbers are not guarantees of Referrer earnings.

178. NO INVESTMENT RETURN THROUGH REFERRAL PLAN

Referral Rewards are compensation under the applicable programme.

They must not be presented as an investment yield generated merely by holding ARCBDS.

179. REWARD VERSUS ALIGNMENT REWARD

The following are separate:

Alignment Reward

Additional ARCBDS allocated according to the Participant's Founding Circle category.

Referral Reward

Compensation earned under an Active Referral Programme.

They must not be confused.

180. REWARD VERSUS PROTECTION RESERVE

Referral Rewards are not funded or guaranteed by the Participant Protection Reserve unless an approved legal structure expressly states otherwise.

The Protection Reserve should not be used to pay ordinary referral commissions unless formally authorised under its governing terms—which the current framework does not contemplate.

181. REFERRER LIABILITY FOR OWN MISCONDUCT

A Referrer may be responsible for losses or regulatory consequences arising from their own:

a. fraud;

b. false representations;

c. unauthorised advice;

d. unlawful spam;

e. Personal Data misuse;

f. misappropriation of Participant funds; or

g. other unlawful conduct.

182. COMPANY LIABILITY

Nothing in these Terms excludes Company liability that cannot legally be excluded.

183. INDEMNITY

To the extent permitted by Applicable Law, a Referrer may be required to indemnify ARCBDS for reasonable losses directly resulting from the Referrer's:

a. intentional fraud;

b. unauthorised guarantees;

c. deliberate regulatory violations;

d. misuse of ARCBDS branding;

e. unlawful collection of Participant funds;

f. unlawful Personal Data use; or

g. other material intentional breaches.

184. FORCE MAJEURE

Reward processing may be delayed by circumstances beyond reasonable control including:

a. blockchain outage;

b. stablecoin disruption;

c. cyberattack;

d. regulatory action;

e. government action;

f. banking disruption;

g. sanctions;

h. war;

i. natural disaster; or

j. other comparable events.

185. REGULATORY CHANGE

If regulation changes, ARCBDS may:

a. suspend rewards;

b. modify reward structures;

c. restrict jurisdictions;

d. remove certain incentive types;

e. require additional disclosures;

f. require Referrer licensing; or

g. terminate a programme.

186. NO COMPENSATION FOR LEGALLY REQUIRED PROGRAMME CHANGE

Where ARCBDS is legally required to cease future referral incentives, future unearned rewards do not become payable merely because the programme was originally expected to continue.

187. CONSUMER RIGHTS

Nothing in these Terms removes consumer rights that cannot lawfully be waived.

188. GOVERNING LAW
